Lawyer Profile

Rachael Cain is a Senior Managing Associate in the firm's Real Estate Practice Group. Her primary practice area is Construction Law.

She advises developers, owners, investors, lenders and project stakeholders on the full lifecycle of complex development, construction and real estate transactions. Her practice spans some of the largest commercial, residential, mixed-use and infrastructure projects in New York City and across the United States, including several of Manhattan's most iconic skyscrapers. She has represented leading global developers in high-profile transactions nationwide.

Drawing on extensive experience across both project development and real estate matters, she counsels clients on acquisitions, dispositions, financing, development, construction, leasing and operational issues. She also advises on matters involving environmental, energy, land use and zoning considerations, with particular experience in affordable housing developments utilising Low-Income Housing Tax Credits (LIHTC) and public-private partnership projects.

She routinely drafts and negotiates a broad range of project and real estate agreements, including construction management agreements, design and engineering agreements, licence and access agreements, commercial leases, loan documents and purchase and sale agreements. She provides strategic guidance on project budgeting, design and development issues, risk allocation, insurance, project management, and dispute avoidance and resolution.

Prior to practising law, she worked as an urban planner, providing her with a unique perspective on the legal, business and regulatory issues that shape complex development projects.

She is an active member of the New York City Bar Association's Construction Law Committee, where she serves as a Committee Member and Head of the Recent Trends Subcommittee. She is also a Board Member of the Smith College Botanic Garden.

She earned her J.D. from Texas A&M University School of Law (2017), her M.S. in Urban Planning from the University of Massachusetts Amherst (2011) and her B.A. from Smith College (2008).
