Lawyer Profile

Joanna Borman is a Managing Associate at Dentons and a valued member of the firm’s Health Care practice, focusing on Health Care Law. She provides regulatory guidance to health care organisations, with particular focus on helping clients navigate federal and state regulatory issues relating to health care transactions, as well as in support of Medicare and Medicaid compliance, reimbursement issues and internal investigations.

Joanna works with a variety of health care providers and entities, such as hospitals, health systems, academic medical centres, ambulatory surgical centres, clinics and physician groups. Her experience assisting in health care transactions includes coordinating due diligence work streams for outside regulatory counsel and engaging with opposing counsel throughout the diligence process to support pre-sign and pre-closing activities.

Her experience includes serving on regulatory teams advising clients on complex transactions and coordinating due diligence work streams for regulatory matters, including Emergency Medical Treatment and Labor Act (EMTALA) policies, procedures and compliance; assisting as a key member of the post-sign, pre-close team responsible for state and federal notifications required with an acquisition of a multi-location hospital, including CHOW CMS-855 filings, state licensure and designations, and accreditation filings with The Joint Commission; and counselling clients on compliance with federal and state anti-kickback and anti-inducement laws, the Stark Law, the Beneficiary Inducement Law and other Medicare and Medicaid rules and sub-regulatory policies relating to coverage and reimbursement.

She has co-authored numerous client publications on health care regulatory developments, including on California’s Corporate Practice of Medicine Doctrine after Carbon Health, the CMMI ACCESS Model, the 340B program, laboratory-developed tests, price transparency, DEA telemedicine prescribing, and private equity’s role in healthcare.

Joanna joined Dentons as a summer associate in 2021 and is a graduate of the University of Virginia School of Law (JD, 2022), where she was the Health Law Association president. She holds a BA, summa cum laude, Phi Beta Kappa, from the College of William and Mary (2015).
