Tonya Vachirasomboon

Tonya Vachirasomboon is a Partner at Dentons, practicing in the Corporate group and co‑leader of the national Mergers and Acquisitions practice. She advises businesses on M&A, private equity transactions, securities offerings, corporate governance, public company compliance, and banking regulation.

Tonya represents private and public companies, including financial institutions, in stock and asset acquisitions, divestitures, mergers, and reorganizations. Notable matters include serving as lead corporate and regulatory counsel to First Merchants Corporation in its merger with First Savings Financial Group, Inc. (approximately US$2.4 billion in assets); leading German American Bancorp, Inc.'s merger with Heartland BancCorp (approximately US$1.9 billion in assets); advising OrthoPediatrics Corp. on a US$100 million private financing, a $144 million underwritten public offering, and multiple acquisitions including Pega Medical ($33 million) and MD Orthopaedics; serving as lead counsel to INdigital in its acquisition by Novacap; and representing First Merchants Corporation in its acquisitions of MBT Financial Corporation ($228 million) and Independent Alliance Banks ($259 million). She also regularly advises startup and emerging companies on formation, capital raises, and commercial contracts.

Tonya holds a J.D., cum laude, from Indiana University Robert H. McKinney School of Law (2008) and a B.S. with distinction from the Indiana University Kelley School of Business (2005). She is admitted to practice in Indiana, Ohio, and Wisconsin.
