Michael D. Hoffmann

Michael D. Hoffmann is a Partner at Dentons, practicing in the Corporate Services group, specializing in Mergers and Acquisitions. He advises emerging and established companies, financial institutions, and health care industry clients on public and private securities offerings, public company securities compliance, corporate governance, venture capital transactions, M&A, and strategic transactions.

Michael has extensive experience representing startup companies in private placements and capital raises, business organization, and general corporate transactions. Notable matters include serving as lead corporate and regulatory counsel to First Merchants Corporation in its merger with First Savings Financial Group, Inc. (approximately US$2.4 billion in assets); serving as lead counsel to Jasper Holdings in its acquisition of Jenkins Holdings, Inc.; acting as lead counsel in German American Bancorp, Inc.'s merger with Heartland BancCorp (approximately US$1.9 billion in assets); advising OrthoPediatrics Corp on its US$22 million acquisition of Boston Orthotics & Prosthetics; and serving as US counsel to R‑Biopharm AG on its acquisition of AusDiagnostics. He also regularly advises banks and bank holding companies on banking regulatory matters and securities law compliance.

He holds a J.D. from Vanderbilt University Law School (2019), where he served on the Executive Board of the Vanderbilt Journal of Transnational Law and received the Grace Wilson Sims Prize for Student Writing in Transnational Law, and an A.B. from Harvard University (2012).
