Andrew J. Callahan

Andrew J. Callahan is a Partner and a member of Dentons' Corporate practice. His primary practice area is Banking and Finance Law.

He regularly represents sophisticated Wall Street clients in connection with their trading of, and investment in, bank debt, claims, unregistered securities and other illiquid instruments.

With significant experience in the credit space, he handles all aspects of secondary loan transactions, from analysing and reviewing loan and restructuring documentation, negotiating all required trade settlement agreements, and leading teams that efficiently settle high volumes of transactions, often under tight time constraints. His work extends to transactions related to the acquisition or divestiture of claims against bankrupt or insolvent entities, both domestically and in international jurisdictions.

He also represents clients engaged in the purchase or sale of unregistered securities, including rights offerings, rule 1145 "plan securities," private notes and securities originally issued pursuant to a private placement without registration.

Well known among his peers, he is regularly consulted regarding market standards and practices and has been characterised as "knowledgeable, prompt, and professional," with his teams praised for being "always on their game." He views his clients as true partners and has been commended for the "great collaboration" and "countless hours" spent navigating complex trading scenarios.

He is a member of the Loan Syndication and Trading Association (LSTA) Trade Practices and Forms Committee, the Loan Market Association (LMA), the New York Bar Association and the American Bar Association.

He holds a JD, magna cum laude, Order of the Coif, from Fordham University School of Law (2008) and a BS, cum laude, from Fordham University (2004).
