Adam H. Dunst is a Partner and a member of Dentons' Corporate practice. His primary practice area is Corporate Law.

His practice focuses on all aspects of the formation, operation and ongoing maintenance of private investment funds, including venture capital, private equity, real estate, specialty finance and other investment advisory businesses. He has particular experience working with sponsors of, and investors in, impact funds, and represents sponsors through multibillion-dollar firms. He has a passion for working with new managers in forming seed and early-stage venture capital funds, and also regularly represents investors in connection with their reviews and negotiations for proposed fund investments.

In addition to his private funds practice, he represents many fund clients, institutional and other investors in their direct and secondary market investment transactions. He has also represented a number of emerging growth companies as outside corporate counsel in financing transactions and on matters of general business and corporate law.

His representative experience includes advising on the formation, structuring and funding of Circular Services, the largest privately owned recycling company in North America, established through the consolidation of 12 facilities from fund portfolio companies across seven states, with Brookfield committing up to US$700 million towards its growth via its Brookfield Global Transition Fund and corporate partners including Microsoft, Nestlé, PepsiCo, SK Group, Starbucks and Unilever joining the investment, bringing total commitments to nearly US$1 billion.

He represented Closed Loop Partners, a pioneer capital provider dedicated to the circular economy, in the formation of Closed Loop Leadership Fund, a private equity fund focused on acquiring best-in-class circular business models, with strategic corporate partners including Nestlé, PepsiCo Beverages North America, Microsoft and Unilever, pension funds, family offices and foundations. He also represented Closed Loop Partners in the formation of Closed Loop Venture Fund II, its second venture capital fund focused on scaling breakthrough circular economy solutions across plastics and packaging, fashion, food and agriculture, and supply chain technology.

Other matters include representing ManchesterStory Venture Fund, a US$75 million venture capital fund raising from well-known insurance companies to make early-stage investments in the fintech and healthcare sectors; representing Fantail Venture Fund LP, a US$25+ million venture capital fund focused on digital advertising, e-commerce, data, fintech and wellness sectors; and advising Green Frontier Capital, a family of green-tech investment focused private investment funds, as fund and corporate counsel.

He holds a JD from New York University School of Law (2005), where he was a Dean's Scholar and a member of the Annual Survey of American Law, and a BS in Finance, magna cum laude, from Cornell University (2001).
