Joel M. Aschbrenner

Joel M. Aschbrenner is a Managing Associate and a member of Dentons Corporate practice, focusing on Mergers and Acquisitions. He advises clients with respect to mergers and acquisitions, securities offerings, commercial transactions, real estate conveyances and corporate governance.

Joel has represented clients in a variety of industry sectors, including banking, real estate, insurance, ag-processing, telecommunications and renewable energy. He has advised clients on regulatory matters before various agencies including the Securities and Exchange Commission, the Federal Reserve Board, and state banking and environmental agencies.

His representative experience includes managing Securities and Exchange Act reporting for two SEC-registered ethanol companies, including preparation of 10-Ks, 10-Qs, 8-Ks and proxy statements, and completing the successful deregistration via cash-out merger of one SEC-registered company; assisting a client with the acquisition of an Iowa-chartered bank, including corporation formation, negotiation of a stock purchase agreement, Regulation D securities offering, and regulatory approval from the Federal Reserve Board and the Iowa Division of Banking; representing clients in multiple real estate syndications in the multi-family and senior housing sectors; assisting with real estate acquisitions for wind and solar farms in Iowa and Michigan; representing a seller in the asset sale of an Iowa-based insurance agency; and assisting with the sale of 32 apartment complexes valued at $504 million.

He has also negotiated vendor contracts and helped create a standardised contract review process for an international insurance corporation with more than 60 independent business units, and represented clients in multiple Regulation D securities offerings in the real estate, technology, banking and retail sectors, including preparation of private placement memoranda, subscription documents and Blue Sky filings.

Joel holds a JD, with Highest Honors, Order of the Coif, from Drake University Law School (2020), where he served on the Drake Law Review, and a BA in Journalism and Business from Kansas State University (2010). He is a member of the American Bar Association, the Iowa State Bar Association and the Polk County Bar Association.
