Jeffrey J. Murphy is a Partner and member of Dentons' Capital Markets practice. His primary practice area is Banking and Finance Law.
He represents financial institutions, funds and other entities in asset purchases and conventional and structured note purchases and other financings of commercial loan portfolios, single-family mortgages, consumer and commercial loans, loan servicing rights and other financial assets. He also represents financial institutions providing bridge, subscription credit and capital call facilities to funds.
His notable experience includes representing the Federal Deposit Insurance Corporation in its multibillion financing of the assuming institution of certain assets and liabilities of Silicon Valley Bank, and representing a prominent minority-owned investment fund as financing counsel in its acquisition of a pan-Caribbean consumer loan originator, servicer and securitizer. He structured loan conduit programs for investment banking and fund clients and loan originators, created structures for transactions involving the sale and financing of loan servicing and excess spread portfolios, and developed documents for the sale and servicing of loans in the US and cross-border secondary markets.
He also led the finance team that represented the US Department of Treasury in its 2009 financing of General Motors and Chrysler, represented a publicly held global technology company in its debt restructuring, and created the documentation for a patent litigation financing program. He represented a leading ABF fund in its acquisition of notes related to the construction-to-permanent financing of what was then the largest U.S. data center, and a large insurance company in its acquisition of regulatory capital-advantaged revolving notes secured by unsecured consumer loans. He also acted as an expert witness in the successful defence of a major law firm in a case arising from the subprime mortgage crisis involving M&A and securitisation issues.
He is a Fellow of the American Bar Foundation and was listed in Best Lawyers in America for Securitization and Structured Finance Law (2027). He served as managing partner of the firm's New York office from 2010–2012 and was formerly with the law firm of Thacher Proffitt and Wood LLP.
He holds a JD from Fordham University School of Law (1982) and a BA, magna cum laude, with High Distinction in Philosophy, from Dartmouth College (1976).
