Rob Condon is a Partner and a member of Dentons' Venture Technology and Emerging Growth Companies group. His primary practice area is Mergers and Acquisitions.
He advises emerging and established companies as well as investment banks and investors in the technology, healthcare, energy, mining and cannabis markets, among others. His broad corporate practice includes counselling on public and private securities offerings, venture capital transactions, securities law compliance, mergers and acquisitions, corporate finance, private equity and corporate governance.
He has particular experience with the small- and mid-cap markets and the demanding and fast-paced nature of capital-raising transactions in these markets, such as registered direct, CMPO and PIPE offerings. In addition, he regularly counsels foreign issuers seeking to access the US markets.
He represents both domestic and foreign companies in IPOs, follow-on and other offerings on the NYSE and NASDAQ; investment banks, investors and issuers in private placements; and banks and borrowers in financings, ranging from single-lender to large syndicates, and workouts and restructurings. He also represents public and private pensions, family offices and fund-of-funds investors in a variety of transactional matters.
His representative experience includes representing investment banks as underwriter and placement agent counsel in hundreds of offerings aggregating in US billions raised; representing a cannabis producer in a direct listing on Nasdaq, the first such listing for a cannabis producer; representing a foreign medical device manufacturer in a US$47 million IPO and its US$1.6 billion stock exit; representing a software as a service business in a US$20 million sale of assets; and representing a biopharmaceutical company developing drugs designed to activate a patient's immune system against cancer in a US$20.7 million offering of common stock and warrants.
He also represented a foreign pharmaceutical company in a US$30 million public offering; a foreign orphan drug pharmaceutical company in a US$35 million IPO; and a top global bank as administrative agent and lead arranger of a US$500 million secured credit facility.
He holds a Juris Doctor from Fordham University School of Law (2004) and a Bachelor of Arts from Skidmore College (1998).
