Ilan Katz

Ilan Katz is a Partner and a member of Dentons' Corporate and Business Transactions and Venture Technology practices. His primary practice area is Mergers and Acquisitions.

His practice encompasses a number of major transactional areas, including mergers and acquisitions, venture capital transactions, joint ventures and strategic alliances, structured and project finance, general contract negotiation, and general corporate advice.

He has extensive experience representing a wide variety of public and private companies in numerous corporate transactions.

His representative experience includes advising Big Cypress Acquisition Corp. on its initial public offering on the Nasdaq, a SPAC IPO which, including the full exercise of the underwriters' over-allotment option, resulted in total gross proceeds of $115 million; representing Immunic, a clinical-stage biopharmaceutical company, in its April 2019 reverse merger transaction that resulted in its listing on Nasdaq; representing Arcturus Therapeutics, a preclinical drug delivery and RNA medicines company, in connection with its collaboration and equity investment transaction with Ultragenyx; representing Biscayne Neurotherapeutics, a privately held company developing a novel treatment for epilepsy, in connection with its sale to Supernus Pharmaceuticals; and representing PharmAthene, a biodefense company, in connection with its business combination with Altimmune.

He was listed as a Recognized Lawyer by The Legal 500 (2022) and has co-authored numerous Dentons publications, including "Poison pills across borders: Navigating shareholder rights plans in Canada and the US" (July 2025), "Delaware Court of Chancery Strikes Down Elon Musk's $55.8 Billion Equity Compensation Package from Tesla" (February 2025), "Delaware Supreme Court Reverses Chancery Court, Applies Business Judgment Rule in TripAdvisor Redomestication Case" (February 2025) and "SEC Adopts New SPAC and de-SPAC Rules" (January 2024).

Prior to joining Dentons, he was counsel at Latham & Watkins. He holds a JD, cum laude, from the University of Pennsylvania Law School (1998) and a BA in Economics, magna cum laude, from Brandeis University (1995), where he was a member of Phi Beta Kappa and received the Sidney S. Cohen Award in Economics.
