Frank P VanderPloeg

Frank P. VanderPloeg is a Retired Partner in Dentons' Chicago office, having practiced in the Employment and Labor practice with a focus on tax-qualified retirement plans and employee benefits.

His experience included the design, drafting, amendment and termination of pension, profit sharing, 401(k), leveraged ESOP, and stock bonus plans, as well as nonqualified executive compensation arrangements such as stock option, restricted stock, phantom stock and stock appreciation rights. He represented employers and plan sponsors in qualification and tax deduction controversies with the IRS, prohibited transaction exemption requests before the Department of Labor, and ERISA litigation involving both plans and participants. He also advised on group health, cafeteria and other welfare benefit plans, and handled executive compensation and “parachute” benefit issues in corporate change-of-control transactions. He additionally represented governmental, tax-exempt and tribal employers in their unique retirement plan regimes.

Frank holds a J.D. from the University of Michigan Law School (1973) and a B.A. from Northwestern University (1965).

He has taught courses in qualified employee benefits and non-qualified plans in the J.D. and LL.M. programs at DePaul University College of Law, and is a member of the ABA Taxation Section Employee Benefits Committee, the Chicago Bar Association Employee Benefits Committee, and the WEB Network of Benefit Professions.
