Douglas L. Waldorf

Douglas L. Waldorf is a Shareholder at Dentons in Naples, Florida, practicing in the areas of banking and finance and real estate. He is Board Certified in real estate by The Florida Bar and has practiced law in Southwest Florida since 1987, including more than a decade as in-house counsel for SunTrust Bank (now Truist).

His banking and finance practice includes representing institutional and private equity lenders and borrowers in structuring and documenting commercial and residential debt financing, including construction financing, asset-based loans, loan syndications and participations, bond financing and SBA loans, as well as providing Florida law opinions related to debt financing. He also has extensive experience in mortgage foreclosures, deeds in lieu, forbearance agreements and loan workouts. His transactional practice includes purchases and sales of commercial and residential real estate, lease transactions and landlord-tenant matters. Representative matters include advising on a $2.2 billion Florida real estate due diligence for a property acquisition, a $1.1 billion cross-border transaction for a lead underwriter, and a $130 million syndicated loan secured by multi-state golf course projects.

Doug holds a J.D. and an MBA from the University of Florida (1985), where he earned Legal Research and Writing Honors, and a B.S.B.A. with honors from the University of Florida (1982).

He is recognised by The Best Lawyers in America in both Banking and Finance and Real Estate (2016–2026), and by Super Lawyers in Banking (2017–2023, 2025). He is a lecturer for the Center for Financial Training on loan documentation, defaults, real estate law and mortgage foreclosure, and has authored several publications on loan defaults and mortgage foreclosure for lenders.
