Carolyn Richter

Carolyn Richter is a Counsel in Dentons' Capital Markets practice, based in Atlanta. She blends commercial law and corporate restructuring experience to advise clients on complex transactions, including asset securitizations, structured financings, credit facilities, distressed M&A, and financings involving tax equity investors.

She has represented borrowers, issuers, banks and financial institutions across industries including mortgage servicing, biotechnology, energy (including solar), commercial real estate, equipment financing, trucking, transportation, and pulp and paper. Notable matters include serving as issuer's counsel in securitizations aggregating over US$1.5 billion of timeshare promissory notes and mortgages, representing the lead arranger in a US$525 million multi-currency asset-based facility for a Texas-based chemicals company, and advising on DIP financings and 363 asset sales in Chapter 11 cases. She also regularly advises on bankruptcy-remote structures, intercreditor issues, legal opinions (including true sale and non-consolidation), and UCC foreclosures.

Carolyn holds a J.D., cum laude from Tulane University (1987), where she was a member of the Moot Court Board, and a B.A. from Newcomb College of Tulane University (1984). She is admitted to practice in Georgia, Florida and New York.

She is a Fellow of the American College of Commercial Finance Lawyers, former Chair of the Bankruptcy Law Section of the State Bar of Georgia, and has been ranked by Best Lawyers in America for Securitization and Structured Finance. She has also been listed in Georgia Trend's Legal Elite and holds Martindale-Hubbell's highest peer review rating.
